Software License Agreement

ATTENTION: USE OF THE SOFTWARE THAT YOU HAVE PURCHASED FROM JASON EARLE ("SOFTWARE") IS SUBJECT TO THE SOFTWARE LICENSE TERMS SET FORTH BELOW. Software License Agreement

THE RIGHT TO RETURN AND REFUND DOES NOT EXTEND TO YOUR TRANSFEREE.

SOFTWARE LICENSE TERMS

The following terms govern your use of the enclosed Software unless you have a separate written agreement with Jason Earle.

License Grant

Jason Earle grants you a license to use one copy of the Software on any one hardware product. "You" means the company, entity or individual whose funds are used to pay the license fee. "Use" means storing, loading, installing, executing or displaying the Software. You may not modify the Software or disable any licensing or control features of the Software except as an intended part of the Software's programming features. If the Software is authorized for "concurrent use", only that number of users allowed under your network license controls (identified in your documentation) may use the Software concurrently.

Ownership

The Software is owned and copyrighted by Jason Earle or its third party suppliers. Your license confers no title or ownership in the Software and should not be construed as a sale of any right in the Software. Jason Earle's third party suppliers may protect their rights in the event of any violation of these terms.

Copies and Adaptations

You may only make copies or adaptations of the Software for archival purposes or when copying or adaptation is an essential step in the authorized use of the Software. You must reproduce all copyright notices in the original Software on all authorized copies or adaptations. You may not copy the Software onto any bulletin board or similar system.

No Disassembly or Decryption

You may not disassemble, decompile or decrypt the Software unless Jason Earle's prior written consent is obtained. In some jurisdictions, Jason Earle's consent may not be required for disassembly or decompilation. Upon request, you will provide Jason Earle with reasonably detailed information regarding any disassembly or decompilation.

Transfer

Your license will automatically terminate upon any transfer of the Software. Software rental is not allowed. Upon transfer, you must deliver the original and all complete, partial or electronically stored copies of the Software and related documentation to the transferee. The transferee must accept these Terms as a condition to the transfer.

Limited Media Warranty

If the Software has been delivered by Jason Earle on physical media, Jason Earle warrants the media to be free from material physical defects for a period of ninety days after delivery by Jason Earle. If such a defect is found, return the media to Jason Earle for replacement or alternate delivery of the Software as Jason Earle may select.

Exclusion of Other Warranties

EXCEPT AS PROVIDED ABOVE, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE. Maximum liability under any circumstances is the license fee for the software. Jason Earle does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Software.

LIMITATION OF LIABILITY

IN NO EVENT SHALL JASON EARLE OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, BUSINESS INTERRUPTION, OR LOST INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF JASON EARLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS PROHIBIT EXCLUSION OR LIMITATION OF LIABILITY FOR IMPLIED WARRANTIES OR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER LEGAL RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION.

Termination

Jason Earle may terminate your license upon notice for failure to comply with any of these Terms. Upon termination, you must immediately destroy the Software together with all copies, adaptations and merged portions in any form.

Export Requirements

You may not export or re-export the Software or any copy or adaptation in violation of any applicable laws or regulations.

Applicable Laws

Claims arising under this Agreement shall be governed by the laws of the Canada and the province of Ontario, excluding its principles of conflict of laws, as applicable as well as applicable international conventions. You may not export the Software in violation of applicable export laws and regulations. Jason Earle is not obligated under any other agreements unless they are in writing and signed by an authorized representative of Jason Earle.
